[apnic-talk] [apnic-announce] Drafts of Standard APNIC Membership Agreem

Dear colleague
As you will be aware, drafts of the proposed new Standard APNIC Membership
Agreement and the related APNIC Definitions Document are on the agenda for
voting during the Member Meeting on Friday 31 August, in Taipei.
Both documents have publicly discussed in various drafts for a considerable
time. At the Kuala Lumpur Meeting, it was agreed to present these documents
for voting during the Taipei meeting.
Recently, APNIC received legal advice that slight amendments should be made
to two specific issues, described below. The Executive Council has resolved
that these amendments should made to the current drafts.
This may raise problems for some meeting delegates. Therefore, the EC has
resolved that during the Member Meeting, there will be a call for a show of
hands to determine which drafts shall be put to a formal vote.
SUMMARY OF THE AMENDMENTS
* Draft Standard APNIC Membership Agreement

- Clause 2.3 was added to deal with the specific cases where member
organisations become insolvent. APNIC’s advice is that this clause does not
affect the operation of existing rights in the Agreement. Rather, this
clause is simply intended to make a clear statement regarding the membership
of organisations that become insolvent or cease operate.
* Draft Definitions Document

- A definition of “insolvency event” has been included to support the
amendment to the Membership Agreement.
- Also, the definition of “Member’s rights under the APNIC documents” has
been added to clarify the right to use delegated resources.

NEXT STEPS
These documents will be discussed at the APNIC Member Meeting on Friday 31
August. Members will be asked by show of hands to indicate which versions of
these documents should be put to formal vote.
